This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between the License Owner and Addition Projects (“Licensor”) for the use of font software created, published, or distributed by Addition Projects.
By downloading, installing, accessing, copying, or using the Fonts, you agree to this Agreement. If you do not agree to these terms, do not download, install, access, copy, or use the Fonts.
About This Agreement
Fonts are software. They are licensed for specific uses; they are not sold as products.
Purchasing or receiving a font license gives the License Owner permission to use the Fonts according to the terms of this Agreement and the specific license purchased or granted. It does not transfer ownership of the typeface design, font software, source files, drawings, names, specimens, documentation, or related intellectual property.
Addition Projects uses a size-based, client-based licensing model. The license is based on the company, organization, institution, or client using the Fonts, not the designer, studio, agency, freelancer, developer, printer, or collaborator producing the work.
Definitions
Fonts: The font software licensed under this Agreement, including OTF, TTF, WOFF, WOFF2, variable font files, trial font files, updates, documentation, and related files supplied by the Licensor.
Licensor: Addition Projects, including its credited designers, publishers, and authorized representatives.
License Owner: The person, company, organization, institution, or client for whom the Fonts are licensed and used.
Client: The end client, organization, company, institution, or other entity for whom work using the Fonts is produced.
Company Size: The total size of the License Owner or Client organization, including employees, staff, partners, members, or equivalent personnel, as declared at the time of purchase or license request.
Authorized Users: The people or entities who need access to the Fonts solely to produce work for the licensed Client and licensed use. This may include employees, contractors, freelancers, designers, developers, printers, producers, fabricators, vendors, agencies, or other collaborators.
License Owner
The License Owner is the client or organization using the Fonts. If a designer, studio, agency, freelancer, developer, printer, or collaborator is hired to produce work for a client, the client is the License Owner. The designer or collaborator may use the Fonts while working on the licensed Client’s project, but only for that Client and only within the scope of the license. Each Client requires its own license. A license purchased for one Client may not be reused for another Client, organization, project, or purpose.
Company Size
Pricing is based on the Company Size of the License Owner or Client using the Fonts. Company Size is measured by the size of the organization receiving value from the Fonts, not the size of the designer, studio, agency, freelancer, developer, printer, or collaborator producing the work. If Company Size was accurately stated at the time of purchase, the license remains valid for the original licensed use. If the organization grows significantly, the project expands, or the Fonts are used in a new context, the license may need to be upgraded. Organizations with more than 300 employees require custom licensing unless otherwise agreed in writing by the Licensor.
License Grant
After full payment is received, or after a free/discounted license is approved in writing, the Licensor grants the License Owner a perpetual, worldwide, non-exclusive, non-transferable license to use the Fonts for the Client, Company Size, formats, media, and uses specified at the time of purchase or approval. The license applies only to the licensed Client or organization. It may not be transferred, resold, sublicensed, reassigned, or reused for another client, organization, project, or purpose unless the Licensor gives prior written permission.
All rights not expressly granted in this Agreement are reserved by the Licensor.
LICENSE TYPES
Addition Projects offers several license types depending on how the fonts will be used and for whom.
Standard Commercial License: Permits one licensed Client or organization to use the Fonts across ordinary design applications. This includes print, websites, visual identities, books, publications, posters, campaigns, packaging, signage, environmental graphics, presentations, PDFs, social media graphics, and ordinary static or moving promotional materials. A Standard Commercial License does not cover uses where the Fonts may be embedded, redistributed, extracted, modified, accessed by unlicensed users, included in another product or service, or used in a context that requires custom approval.
Custom License: For larger organizations, expanded use, or situations that do not fit clearly into the categories above, please get in touch to discuss a Custom License.
Student License: A free license which permits current students to use the Fonts across non-commercial, self-initiated school projects during the duration of their studies. Student Licenses may also be used for personal portfolio websites and social media, provided the work remains non-commercial and self-initiated.
Public-Interest License: The Licensor may provide discounted licenses for registered nonprofit organizations and publicly funded, non-commercial cultural institutions. The Licensor may also provide free licenses for selected non-commercial activist, mutual aid, cultural, or community projects aligned with humane, anti-discriminatory, and ecologically centered values. Discounted or free use is not automatic. Approval may be required before use. The Licensor may request a description of the project, intended media, producers, sponsors, funding context, and scale of use.
Desktop Files
If OTF or TTF files are included in the license, they may be installed on devices controlled by the License Owner and used by Authorized Users solely for the licensed Client and licensed use. OTF and TTF files are intended for desktop installation and use in design software. OTF and TTF files may not be served on the web, embedded in software, included in templates, distributed with products, uploaded to public platforms, or made available to unlicensed users unless expressly permitted by a Custom License.
Webfont Files
If WOFF or WOFF2 files are included in the license, they may be used through CSS @font-face solely for the licensed Client, project, website, or domain. WOFF and WOFF2 files may not be used for unlicensed clients, unlicensed domains, templates, apps, software, design tools, or products where the font files can be accessed, extracted, redistributed, or used by unlicensed users. OTF and TTF files may not be served on the web.
Trial Fonts
Trial Fonts are provided free of charge for testing and evaluation. They contain Test in the file name. Trial Fonts may be used for sketches, internal mockups, classroom exploration, pitches, proposals, and client presentations. Trial Fonts may not be used in final, public, published, client-facing, commercial, institutional, or production work.
Third-Party Sharing
The License Owner may share the Fonts with Authorized Users only when access is necessary for the licensed Client’s project. Authorized Users may use the Fonts only for the licensed Client and project. They may not use the Fonts for other clients, reuse them in unrelated work, retain them for future projects, or share them with others. Authorized Users must delete the Fonts after their work on the licensed project is complete unless they hold their own license. The License Owner is responsible for ensuring that all Authorized Users comply with this Agreement.
Customization and Modifications
The License Owner may not modify, rename, convert, reverse-engineer, decompile, disassemble, trace, recreate, redraw, expand, interpolate, or create derivative works from the Fonts without prior written permission from the Licensor. The License Owner may not ask or hire a third party to modify, rename, convert, redraw, expand, or otherwise alter the Fonts without prior written permission from the Licensor.
Any requested modification, expansion, custom version, language extension, bespoke adaptation, or technical adjustment must be discussed with the Licensor as a custom project and may require additional fees and licensing.
Prohibited Distribution
The License Owner may not share, sell, lend, rent, lease, sublicense, upload, publish, transfer, or otherwise distribute the Fonts or license to third parties except as explicitly allowed for Authorized Users working on the licensed Client’s project. The Fonts may not be uploaded to public or private file-sharing platforms, repositories, forums, social media, template services, design tools, AI/ML datasets, or any location where unlicensed third parties may access them.
Prohibited Uses
The License Owner may not use the Fonts for any client, organization, project, media, or purpose not covered by the license.
The License Owner may not use the Fonts, outlines, letterforms, glyphs, or designs to train, test, build, supply, or contribute to machine-learning systems, generative models, datasets, automated font-generation tools, or similar systems without prior written permission.
The License Owner may not use the Fonts in a way that falsely implies endorsement, sponsorship, partnership, or approval by the Licensor.
The Fonts may not be used to promote, incite, or normalize violence, hatred, harassment, or discrimination based on race, ethnicity, religion, gender, sexuality, disability, nationality, age, or other protected characteristics.
Explicit political or religious campaign use, including campaign identities, advertisements, propaganda, fundraising materials, election-related communications, or similar uses, requires prior written approval.
Violation of this section may result in immediate termination of the license without refund.
Backups
The License Owner may create backup copies of the Fonts for archival purposes, provided the copies remain under the License Owner’s control and are not accessible to unlicensed third parties.
Updates
The Licensor may provide updates, corrections, or revised versions of the Fonts at its discretion. Unless otherwise stated, updates are subject to this Agreement. The Licensor is not obligated to provide updates, support, or compatibility fixes.
License Changes and Upgrades
If the License Owner’s use changes, expands, or exceeds the original license, the License Owner must contact the Licensor and purchase an appropriate license upgrade or Custom License before continuing use. This includes changes in Company Size, media, territory, technical implementation, redistribution, embedding, public visibility, or project scope.
Compliance
The Licensor may request reasonable confirmation that the Fonts are being used according to this Agreement. If requested, the License Owner must provide information confirming the license, purchase date, order number, Client, Company Size, and locations where the Fonts are installed, hosted, stored, served, embedded, or accessed.
If the License Owner is found to be using the Fonts without a valid license or outside the terms of this Agreement, the License Owner is responsible for applicable licensing fees, upgrade fees, costs, damages, and reasonable enforcement expenses.
Refunds
Font files are digital software. All sales are final, and licenses are non-refundable.
Trial Fonts are available so the License Owner can test the typeface before purchasing. If the License Owner believes a purchased font file is defective, the License Owner must contact the Licensor within 30 days of purchase.
At the Licensor’s discretion, the Licensor may provide a corrected file, replacement file, or other reasonable remedy for a verified defect.
Ownership
The Fonts are licensed, not sold. The Licensor retains full ownership of the Fonts, typeface designs, font software, source files, drawings, names, specimens, documentation, and related intellectual property. The License Owner receives only the limited rights expressly granted by this Agreement and the specific license purchased. Any rights not explicitly granted are reserved by the Licensor.
Taxes
The License Owner is responsible for any local, state, federal, VAT, sales, use, withholding, or other taxes that apply in their jurisdiction, unless such taxes are collected during checkout. Taxes will not be deducted from licensing prices unless required by applicable law.
Warranty
The Fonts are provided “as is.” The Licensor does not guarantee that the Fonts will operate without error, meet every technical requirement, or be suitable for every application, platform, device, browser, software environment, or production context. The License Owner is responsible for testing the Fonts and ensuring that they meet the License Owner’s needs before use.
Limitation of Liability
To the fullest extent permitted by law, the Licensor shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use of, or inability to use, the Fonts. Under no circumstances shall the Licensor’s total liability exceed the amount paid by the License Owner for the applicable license.
Termination
This Agreement is effective until terminated. The license terminates automatically if the License Owner violates this Agreement. Upon termination, the License Owner must stop using the Fonts and delete all copies, including backups, from all devices, servers, repositories, websites, applications, archives, and storage locations. Termination does not limit the Licensor’s right to pursue unpaid fees, damages, enforcement expenses, or other remedies.
Governing Law
This Agreement is governed by the laws of the State of Rhode Island, United States, unless otherwise required by applicable law.
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement
This Agreement, together with the specific license details attached to the License Owner’s order, constitutes the entire agreement between the License Owner and the Licensor regarding the Fonts. Any modifications, exceptions, or custom permissions must be agreed to in writing by the Licensor.
Updates to This Agreement
The Licensor may update this Agreement from time to time. Continued use of the Fonts after an updated Agreement is posted or provided constitutes acceptance of the updated terms, except where prohibited by applicable law.
